Welcome to Docket Navigator®! We offer you the websites, services, and content on DocketNavigator.com (“Docket Navigator”) on the condition that you agree to the following terms.
BY USING, SUBSCRIBING, OR REGISTERING FOR DOCKET NAVIGATOR, YOU SIGNIFY ELECTRONICALLY YOUR AGREEMENT TO THE FOLLOWING TERMS (the “AGREEMENT” or “TERMS OF USE”). Do not use or sign up or use Docket Navigator if you do not agree to these Terms of Use.
1. About these Terms
1.1 These Terms of Use govern your use of Docket Navigator, including the Docket Navigator research database (“Database”) and the Docket Report newsletter (including any associated notification or announcement emails sent to Docket Report subscribers in connection with their subscription) or Docket Alerts or daily/weekly/monthly reports (collectively “Docket Report”), and any application programming interfaces (API), MCP connectors, integrations, or related services, content or features. Docket Navigator is provided by Hopkins Bruce Publishers, LLC, P.O. Box 7358, Abilene, Texas 79608, (“we” or “us”). In this Agreement, the term “you” means the person who (or the entity on whose behalf you are acting) is agreeing to these Terms of Use.
1.2 We may update these Terms of Use from time to time to reflect changes to our services, applicable laws or business practices. The latest version of the Terms of Use will be posted on the applicable Docket Navigator web page and should be reviewed prior to accessing or using Docket Navigator. All changes will be effective immediately when posted on the Docket Navigator web page and will apply to your use of and access to Docket Navigator from that point onward. If the changes to the Terms of Use are material, we will use reasonable endeavors to provide notice. Your continued use of, or access to, Docket Navigator after the changes take effect constitutes acceptance of the updated Terms of Use. If you do not agree to the updated Terms of Use, you may not use or access Docket Navigator and must exit the platform immediately.
2. Changes to the Services
2.1 We may change, suspend or discontinue any Docket Navigator offering, service, feature, API, MCP connector, authorized integration, AI feature or related technical interface at any time, with or without notice.
2.2 We may also impose or adjust rate limits, volume limits, API call limits, concurrency limits or other technical restrictions on your account, subscription, API access or authorized integrations, including for security, performance, cost, compliance, legal, operational or product reasons.
3. Registration
We will open an account for you when you sign up for Docket Navigator. You must provide complete and accurate registration information, including (if applicable) accurate and up-to-date billing information. You agree to keep this information up-to-date. You represent and warrant that: (1) you have the full power, authority, and legal capacity to enter into the Agreement and follow its obligations, (2) if you are registering on behalf of a company or other entity, you have the authority to bind your principal or employer company, and (3) all information that you provide is true and current.
4. Your Information
You consent to the information practices regarding your account and the choices that you can make about the use of your information as disclosed in the Docket Navigator Privacy Policy, which is incorporated in full herein by reference.
5. Your Responsibilities
5.1 You are responsible for all activities under your account, including all legal liability incurred from the use of your account by you or others. You may not use Docket Navigator, or any of its websites, services, data, documents, information and content (collectively, “Content”) in any way that: (1) violates or infringes the rights of others including, without limitation, patent, trademark, trade secret, copyright, publicity or other proprietary rights; (2) is unlawful; (3) impersonates any person, business or entity, including our company and our employees and agents; (4) encourages conduct that would constitute a criminal offense, or that gives rise to civil liability; or (5) violates this Agreement, guidelines or any policy posted on Docket Navigator. You may not give access to your account, or disclose your password to others. You are responsible for keeping your account information, including all passwords, confidential.
5.2 Nothing in this Agreement prohibits you from authorizing applications or integrations previously approved by us, including Docket Navigator’s Model Context Protocol (“MCP”) connectors for approved partners, to access Docket Navigator on your behalf through our OAuth flow. Authorizing an approved application through OAuth does not constitute a prohibited disclosure of credentials. You are responsible for maintaining the security of OAuth tokens and for all activity under your account, including activity through connected applications. You may revoke an authorized application’s access at any time and must promptly do so if an integration is compromised or no longer authorized by Docket Navigator.
6. License and Permitted Uses for Docket Navigator Research Database
6.1 If you are a subscriber to the Database, you agree that your username and password will not be disclosed to any unauthorized person. We may change your username and password at any time, provided that you are sent notice to your last known e-mail address. You agree to keep your access information confidential and to notify us of any violation of this Agreement.
6.2 Docket Navigator subscriptions may be subject to per-seat, usage-based or other limits set out in the applicable order form. Database subscriptions sold to individual subscribers are for single users only. Database subscriptions sold to institutions (i.e., law firms, corporations and other businesses, charitable or government entities) are for use by the individuals within such institution(s) designated as subscribers at the time the subscription is purchased (the “Enterprise Customer”). The Enterprise Customer’s use of Docket Navigator is limited by the seat allocations, usage thresholds, volume limits, rate limits, and any other access or usage limits set out in the applicable order form. You are responsible for ensuring that the number of individuals within the Enterprise Customer’s organization and their use of Docket Navigator, including use through authorized integrations, adhere to those applicable limits.
6.3 Any and all content available in the Database (which shall also be considered “Content” in addition to the manner in which it is defined elsewhere in these Terms of Use) shall not be reproduced, revealed, published, distributed, or otherwise made available in whole or in part to anyone else unless required by law or pursuant to these Terms of Use. Nor should the Content be used to populate, validate, correct, compare or otherwise modify external databases or external data products. You acknowledge that the products are subject to the copyright and other proprietary rights of Hopkins Bruce Publishers, LLC. and you will not commit or permit any act or omission that would impair such rights.
6.4 We grant you a non-exclusive, non-transferable, limited license to access and use Docket Navigator and the Content subject to the terms and limitations of this Agreement. All Content is licensed and not sold or assigned. You may download and temporarily store insubstantial portions of Content that you license to one personal computer storage device under your exclusive control. You may use such Content only to display internally for your individual research needs. You may also create one printout of such Content for your internal use and you may not further distribute the printouts. Content can under no circumstance be distributed to others without our express written consent.
6.5 You may not copy, download, store, publish, transmit, transfer, sell or otherwise use the Content in any form or by any means, except as expressly permitted by this Agreement (including the section below titled “AI Features and Authorized AI Integrations”). You may not circumvent any mechanisms for preventing the unauthorized reproduction or distribution of the Content. Prohibited circumvention includes, but is not limited to, using Docket Navigator alerts, notifications, summaries or search results as a trigger, signal or source of direction to update, populate, validate, maintain, correct, compare or otherwise modify any external database, dataset data product, knowledge repository, analytics platform, workflow, alerting system or similar resource maintained for commercial purposes. This restriction applies regardless of whether the underlying Content is copied, reproduced, or retained, and regardless of whether the information ultimately entered into such external resource is obtained directly from Docket Navigator or via any other source. The restriction applies to manual, semi-automated and automated activities alike. You may not store or use the Content to create an archival or searchable database of the Content. You shall not sell, license or distribute the Content (including any printed version of the Content) to third parties. You may, on a reasonable and strictly ad hoc basis, share limited excerpts of the Content with Your clients as part of Your professional interactions in relation to a specific legal matter, provided that such sharing: (a) is incidental and ancillary to the provision of substantive legal advice on a specific matter; (b) does not amount to systematic, repeated, or organized distribution of Docket Navigator, Content, any API, or any authorized integration; and (c) does not, in Docket Navigator’s reasonable opinion, substitute for or reduce the need for any recipient to obtain its account with Docket Navigator. Except for the license granted in this Agreement, all rights, title and interest in Docket Navigator, the Docket Report, and the Content are and will continue to be the exclusive property of us.
6.6 Your use of Docket Navigator is subject to the terms and limitations in this Agreement regardless of whether Content is accessed directly through Docket Navigator or indirectly through any API, MCP connector, authorized integration, AI feature, export or other technical interface. We may monitor Your use of Docket Navigator, the Content, any API, MCP connector and any authorized integrations for security, performance, cost and compliance with this Agreement. If You misuse or exceed reasonable usage of Docket Navigator, Content and/or any authorized integration, API or MCP connector, Docket Navigator may suspend, revoke, or throttle Your access without notice. You shall not use any automated process, AI agent, workflow, integration, API client or similar technology to circumvent seat limitations, user restrictions, rate limits, volume limits, subscription restrictions, usage thresholds or other technical controls imposed by Docket Navigator.
6.7 Access to Docket Navigator through any API, MCP connector, authorized integration, AI feature or other technical interface does not expand the number of permitted users, seats, Benefitting Group members, usage rights or other entitlements under your subscription or applicable order form.
7. AI Features and Authorized AI Integrations
7.1 Docket Navigator offers features and integrations that use artificial intelligence. These include AI-assisted features within our own services, such as our in-platform chat agent and AI-generated summaries, and integrations that allow you to access the Database through third-party AI assistants and platforms, including integrations built on open protocols such as MCP, which may be available on platforms including, but not limited to, Anthropic’s Claude, OpenAI’s ChatGPT, Google’s Gemini, and Microsoft Copilot. This section applies to your use of those features and integrations.
7.2 Use of Content through an integration we have previously authorized is a permitted use under your license, subject to the following conditions:
7.3 Content accessed through an authorised integration remains licensed Content and is subject to the same restrictions that apply to Content accessed directly through Docket Navigator. You may not use any integration, API, MCP connector, Content or output derived from them to: (a) systematically extract, download, scrape, reproduce or reconstruct any substantial portion of the Database; (b) create an archival or searchable copy of the Content outside Docket Navigator; (c) reverse engineer the Database or its structure, schema or organisation; (d) benchmark, evaluate, test, validate, train, fine-tune or improve any artificial intelligence, machine learning or large language model; or (e) develop, support, market or provide any competing legal research, litigation analytics, knowledge management, artificial intelligence or information retrieval service. You may not, nor knowingly permit any third party to, use the Content to train, fine-tune or improve any artificial intelligence or machine learning model except with our prior written consent.
7.4 Access to the Database or Content by or through an enterprise AI platform may be governed by a separate written agreement between us and the platform provider and/or your organization; if there is a conflict between such an agreement and these Terms of Use, the separate subsequent agreement prevails.
7.5 When you use an authorized AI integration, your requests and the Content returned in response are transmitted to and processed by the authorized AI platform provider you have connected. Copies of Content may be retained in your conversation history on that platform, subject to the platform provider’s own terms of service and privacy policy. Incidental retention of Content within your conversation history on an authorized platform is not a violation of this Agreement, but you may not export, republish, or redistribute that Content in violation of the license restrictions above. We are not responsible for and disclaim all liability for, any AI platform provider’s handling, use, disclosure, storage, retention, security or processing of information once it has been transmitted to us and subsequently transmitted to that provider.
7.6 Output generated by AI features or by third-party AI models may contain errors or omissions and should be independently verified against the underlying Content. AI-generated outputs do not constitute legal advice and are not subject to protections such as attorney-client privilege or the attorney work product doctrine. You are responsible for independently verifying all information provided by AI features, and you should seek qualified professional advice before making any decisions based on it.
7.7 You expressly waive any right to claim damages or other remedies against us arising from your use of authorized AI integrations or AI features, and/or your reliance on AI-generated outputs. To the extent any output generated through an AI feature, MCP connector, API or authorised integration reproduces, incorporates, summarises, derives from, or is based upon Content, such output shall remain subject to the licence restrictions, ownership provisions and usage limitations applicable to the underlying Content.
7.8 If an AI feature or authorized integration accesses Docket Navigator through an API, all API access and API calls remain subject to this Agreement and any applicable order form.
8. License and Permitted Uses for Docket Report
8.1 If you are a subscriber to the Docket Report, we grant you a non-exclusive, non-transferable, limited license to access and use the Docket Report subject to the terms and limitations of this Agreement. All Content included in the Docket Report is licensed and not sold or assigned. You may download and temporarily store individual editions of the Docket Report and all Content accessible via hyperlink contained in a Docket Report, to one personal computer storage device and one portable computer device (such as an email-enabled mobile phone or PDA) under your exclusive control and solely for internal business purposes only. You may not copy, forward or transmit (collectively “Forward” or “Forwarding”) individual editions of the Docket Report or Content accessible via hyperlink contained in the Docket Report to others except as hereafter provided. You may share or Forward a Docket Report to a colleague, client, or legal professional in connection with the provision or prospective provision of professional legal services provided such sharing or Forwarding is not reasonably calculated to avoid payment of a subscription fee by recipient(s). The phrase “reasonably calculated to avoid payment of a subscription fee by recipient(s)” includes, but is not limited to, the following activities which are expressly prohibited: (i) Forwarding more than 10 editions of the Docket Report in any calendar month, (ii) Forwarding any edition of the Docket Report to more than 20 recipients, (iii) directing, routing, storing, archiving, or making Docket Reports available through any shared email inbox, shared mailbox, distribution list, shared folder, collaboration platform, document repository, knowledge management system, or other location or mechanism accessible by individuals who are not designated subscribers; and (iv) otherwise providing direct or indirect access to Docket Reports or their contents in a manner that enables non-subscribers to access, retrieve, search, review, or regularly receive Docket Reports without obtaining their own subscription. For purposes of this section, Forwarding includes any method of transmission, distribution, storage, routing, sharing, posting, or provision of access, whether direct or indirect, manual or automated. Forwarding, directing, routing, storing, archiving, posting, or otherwise making Docket Reports available in the manner described above constitutes prohibited distribution under this section regardless of whether the subscriber actively and/or intentionally transmitted or forwarded the Docket Reports. In addition to the above exceptions, Docket Navigator liberally grants permission to Forward the Docket Report on a case-by-case basis, and we encourage subscribers to contact us for such permission when in doubt.
8.2 You may not store or use the Docket Report to create an archival or searchable database of the Content and you shall not sell, license or distribute the Docket Report (including any printed version of the Docket Report) to third parties. You may report individual cases, orders, or other events that appear in the Docket Report (provided such report is substantially less than all Content contained in a Docket Report) in a web-log, newsletter, website, or similar publication provided you attribute such information to Docket Navigator at the time of publication in a reasonable and customary fashion. Except for the license granted in this Agreement, all rights, title and interest in Docket Navigator, the Docket Report, and the Content are and will continue to be our exclusive property.
9. Access Costs
9.1 You must provide at your own expense the equipment and Internet connections that you will need to access and use Docket Navigator. Those costs are in addition to any purchases you make from Docket Navigator.
10. Fees and Payment
10.1 You agree to pay the applicable fees and charges for purchases that you make from us. We will disclose your payment terms at the time you make a purchase from Docket Navigator. All charges are non-refundable.
10.2 If you subscribe to any service that requires payment, you must give us accurate billing and payment information and keep this information up-to-date. Every time you use Docket Navigator or otherwise access our services, you reaffirm that (i) we are authorized to charge your designated payment method; (ii) we may submit charges incurred under your account for payment; and (iii) you will be responsible for such charges. YOU AGREE THAT WE MAY CHARGE YOUR PAYMENT METHOD FOR ALL AMOUNTS DUE TO US WITHOUT ADDITIONAL NOTICE OR CONSENT unless required otherwise by law. If we do not receive payment from your designated payment method, you agree to pay all amounts due upon demand by us. You are responsible for all charges incurred under your account made by you or anyone who uses your account. We may, in our discretion, post charges to your payment method individually or may aggregate your charges with other purchases you make on Docket Navigator. You agree that any submissions you make for electronic purchases constitute your intent and agreement to be bound by the terms of and pay for such purchases.
11. Refund Policy
Due to the type of information being licensed, we unfortunately cannot accept returns of Content once it has been delivered. We cannot and do not warrant that the information available through this service is accurate, complete or updated but rather is provided to the user ‘as is’.
12. Billing Problems and Disputes
You must notify us about any billing problems or discrepancies within 60 days after they first appear on the statement you receive from your bank. If you do not bring such problems or discrepancies to our attention within 60 days, you agree that you waive the right to dispute such problems or discrepancies.
13. Disclaimer of Warranties
13.1 We provide Docket Navigator “as is”, “with all faults” and “as available.” YOUR USE OF DOCKET NAVIGATOR IS AT YOUR OWN RISK. We make no express warranties or guarantees about Docket Navigator or any of its Content or materials, including any output generated by AI features or integrated third party AI models. TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES THAT THE WEBSITES, SERVICES, CONTENT AND MATERIALS ON DOCKET NAVIGATOR (“DOCKET NAVIGATOR SERVICES”) ARE MERCHANTABLE, OF SATISFACTORY QUALITY, ACCURATE, FIT FOR A PARTICULAR PURPOSE OR NEED, TIMELY, RELIABLE, NON-INFRINGING or that the website, docket reports or the server(s) on which they are hosted are free of viruses, bugs or other harmful components. WE DO NOT GUARANTEE THAT THE RESULTS THAT MAY BE OBTAINED FROM YOUR USE OF THE DOCKET NAVIGATOR SERVICES, INCLUDING ANY SUPPORT SERVICES, WILL BE EFFECTIVE, RELIABLE, ACCURATE OR MEET YOUR REQUIREMENTS. WE DO NOT GUARANTEE THAT DOCKET NAVIGATOR, THE CONTENT, ANY API, MCP CONNECTOR, AUTHORIZED INTEGRATION, AI FEATURE OR RELATED SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR AVAILABLE AT PARTICULAR TIMES OR LOCATIONS OF YOUR CHOOSING. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY OUR REPRESENTATIVES SHALL CREATE A WARRANTY.
13.2 We disclaim any liability for errors or omissions in the services and as a subscriber you assume the risk of possible errors or omissions. No legal advice is intended or offered by Docket Navigator in making any of the Content available, and Docket Navigator disclaims any and all liability related to any decision taken by a party in reliance upon the Content.
14. Limitation of Liability
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING FROM (I) YOUR USE OF THE DOCKET NAVIGATOR SERVICES AND SOFTWARE (II) API DOWNTIME, THROTTLING, SUSPENSION, INTEGRATION ERRORS, FAILED API CALLS, THIRD-PARTY PLATFORM PROCESSING, OR UNAUTHORIZED USE OF CREDENTIALS, TOKENS, OR API KEYS. THESE EXCLUSIONS APPLY TO ANY CLAIMS FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE, COMPUTER INFECTION, OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF WE KNEW OR SHOULD HAVE KNOWN THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY IN SUCH STATE OR JURISDICTION SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. IN NO EVENT SHALL OUR CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS RELATING TO THE USE OF THE DOCKET NAVIGATOR SERVICES EXCEED THE TOTAL AMOUNT YOU PAID FOR THE PARTICULAR DOCKET NAVIGATOR PURCHASE AT ISSUE.
15. Links to Other Sites
The Database or Docket Reports may contain links to other websites. These links are provided to you only as a convenience and their presence do not imply endorsement by Docket Navigator or its affiliates or subsidiaries, or of any association with such websites’ operators. You agree that Docket Navigator and its affiliates and subsidiaries are in no way responsible or liable for the availability or content of the websites on linked sites. Docket Navigator and its affiliates and subsidiaries make no representations whatsoever about any other website you may access through these links. Any concerns regarding services offered or content which is published by these other sites should be directed to the operator of that specific website and not Docket Navigator.
16. Termination
16.1 We may cancel or suspend your access to Docket Navigator at any time, without cause and/or without notice. Your right to use Docket Navigator will end once your service is terminated. Upon termination You must cease using Docket Navigator, the Content, any API, and all authorized integrations and revoke all connected applications, OAuth tokens, API keys, access tokens, and other associated credentials. Once Your service is terminated, you must delete all locally stored Content and, to the extent technically feasible, all stored outputs generated from or derived from the Content through any AI feature, MCP connector, API or authorized integration, except where: (1) legally required to retain it; or (2) previously incorporated into permitted work product.
16.2 We may cooperate with legal authorities and/or third parties in the investigation of any suspected or alleged crime or civil wrongdoing.
17. Indemnification
17.1 You agree to indemnify, defend and hold harmless Docket Navigator and its subsidiaries and affiliates and their respective employees from and against any and all claims, damages, causes of action, costs (including reasonable attorneys’ fees) and other expenses that arise directly or indirectly out of or from: (1) your breach of these Terms of Use and/or (2) your activities or omissions in connection with the Database and the Docket Reports, including claims arising from misuse of any API, MCP connector, or integration (authorized or unauthorized).
17.2 We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
18. Electronic Contracting and Notices
18.1 By registering for, accessing or using Docket Navigator, you acknowledge that you have read and agree to be bound by these Terms of Use. Where we prompt you to click to “accept” or “agree” to these Terms of Use (including upon registration, login, or following a notice of updated Terms of Use), such action shall constitute your explicit electronic acceptance of these Terms of Use. For the avoidance of doubt, in all cases, your continued access to or use of Docket Navigator constitutes acceptance of these Terms of Use. If you do not agree to the terms and conditions herein, you may not use or access Docket Navigator and must exit the platform immediately.
18.2 You agree that we may provide any privacy notices, disclosures, reports, documents, communications or other records relating to Docket Navigator (collectively, “Notices”) electronically. We may deliver Notices by (i) email to the address associated with your account or otherwise provided by you, or (ii) posting the Notice within Docket Navigator or on the applicable Docket Navigator web page. Notices will be deemed received on transmission or posting, as applicable, except where prohibited by applicable law. You may withdraw your consent to receive Notices electronically by discontinuing your use of Docket Navigator and, where applicable, closing your account.
18.3 In order to receive Notices electronically, you must maintain the email address or web address which you have provided to us in connection with registering for or maintaining an account with Docket Navigator, and a means of accessing those Notices (by means of a computer, laptop, tablet, mobile device or otherwise).
19. Entire Agreement
This Agreement, our Privacy Policy, and any supplemental terms, policies, rules and guidelines posted on Docket Navigator constitute the entire agreement between you and us and supersede all previous written or oral agreements. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected thereby, and such provision shall be ineffective only to the extent of such invalidity, illegality, or unenforceability.
20. Choice of Law and Location for Resolving Disputes
You agree that the laws of the State of New York govern this contract and any claim or dispute that you may have against us, without regard to New York conflict of laws rules. You further agree that any disputes or claims that you may have against us will be resolved by a court located in New York and you consent to personal and subject matter jurisdiction in such courts.
21. Assignment
We may assign this contract at any time without notice to you. You may not assign this contract to anyone else without our prior written approval.
